My suggestion would be that this could be just after 'Children of the Night' - Sissi is beginning to remember, the group isn't comfortable with this and emotions are running high - especially after Odd decides to help Sissi through the trauma of reintegrating her memories (suddenly remembering being attacked by a space monster would give me nightmares I can tell you).
In this emotional mix, XANA decides to play a new hand by trying a 'half-posession'. Now we know that XANA's can't posess Ulrich, Odd, Yumi, Aelita etc, but what if he didn't need to - what if he concentrated his spectre into not controlling someone, but just altering their mood - plausible and possible.
So, XANA uses a stooge again (like that boy from SVD) to post a letter to Ulrich, one containing a spectre. He opens the letter, reads it, discards it, and when he's not looking a spectre emerges from the envelope and enters him (Ulrich does not realise either), twisting his emotional mood from moody to downright agressive/hateful (Ulrich would be the easiest to make the change in).
Subsequently he distances himself from Odd, verbally attacks Jeremie, hurts Yumi's feelings and possibly physically harms Aelita, seeing her as the source of his woe ("IT'S ALL YOUR FAULT! YOU AND YOUR INSANE FATHER!").
XANA's objective, aside from breaking up the team, is to try and goad Ulrich into destroying the supercomputer or the scanners in his anger, thus removing the only tools the kids have to fight him with now that he has left the computer.
Obviously this leaves subplot potential open - this could be the episode where Sissi proves herself to the group on Earth, leaving the next one open for her first sortie to Lyoko - also having Ulrich break off with them could prompt a little 'bonding' between the other characters - Aelita would go to Jeremie for comforting, Odd might get even closer to Sissi and Yumi could hook up again with 'outsider' William just to get revenge on Ulrich.
As for the climax, we could have Odd, Yumi and Aelita in Lyoko trying to deactivate the tower, Ulrich trying to attack Jeremie on Earth, and then Sissi stepping in unexpectedly (Odd tipped her off on the situation) cueing a martial-arts fight between her and Ulrich.
Any good?
Oh, and if you like the idea I have a title suggestion - 'Hate Mail'.

Open to a picture of Franz Hopper taped to a blank computer screen. Cue narration by Jeremie as we pan back to reveal Jeremie walking around the various levels of the factory bringing everything online. It's the end of the holidays and while the team has been split up he's deactivated the complex.
"Franz Hopper - a reclusive genius with a vision - a dream that was twisted into a nightmare by the military that funded his research."
Jeremie primes a diesel generator.
"Disgusted by his brilliant concepts being developed as weapons Hopper fled that project, and moved here where he could build a counter-weapon in secret."
Jeremie climbs down to the computer level and turns over the power systems. He enters the elevator and enters the scanner room. Each machine is inactive, and Jeremie walks from one to the other and turns them on, their doors popping open as they whine into life.
"And Hopper suceeded in his creation - the advanced offensive AI XANA - but years of solitude, work and persecution by governement agents led him to also create a sanctuary for himself and his family."
Jeremie brings the holosphere online and the map of Lyoko appears.
"And so Hopper created Lyoko - a virtual world without danger - but he was betrayed by XANA, and became his first victim. His daughter..."
Cut to the Ishiyama residence, where Yumi and Aelita are together washing the dishes. It's a warm, cosy and tranquil scene.
"...was the second."

Later the two girls sneak out to join Odd and Jeremie at the factory and they talk very breifly after a warm greeting - the kids haven't seen each other in ages.
Jeremie brings up the subject of where Ulrich is and Yumi explains he's coming home from the Alps on a skiing tour. At this point the old scanner program goes off, alerting them to a activated tower, but because he's still booting up the system Jeremie can't pinpoint it.
As the kids prepare for their first Lyoko sortie since The Key the camera pushes in on the flashing holosphere map.
CUT to the blazing furnace of a steam locomotive, and then pan back to reveal the female engineer (who is called Alex) working the controls. The train, specially chartered to bring back the skiing holidaymakers (including Ulrich's family), is steaming through the French Alps in the middle of a blizzard.

Shortly after the train becomes a runaway after the controls become posessed by XANA - Ulrich calls the team for help and Jeremie is stunned - XANA is now directly posessing an object hundreds of miles away, a first.
The climax is that Ulrich ends up working with Alex, the engineer, to save all the passengers, including his family, but Alex is killed before a RTTP is triggered off (we don't have to show this, but show the locomotive toppling off the rails and Alex falling towards camera as Ulrich grabs a lever for support).

After the RTTP the team is waiting in the control room for Ulrich to call, each nervously hoping they deactivated the tower in time.
The phone rings and Yumi sighs in relief. Jeremie picks up with a smile.
"Ulrich?"
"Yeah, it's me," he sounds more despondant than usual. The kids don't notice and cheer in their way. Jeremie replies.
"Glad to know you're okay."
Ulrich suddenly sniffs, and the kids realise he's crying.
"I'm okay but...but...Alex..."
Cut to Ulrich using the train's phone, he looks outside to where an ambulance stands in a station carpark, and a stretcher is slowly brought on and loaded into it - the body covered from head to toe in a white shroud. Ulrich tires to hold in his tears as mournfull music plays.
"XANA - took a life..."
The party atmosphere is killed in the control room as the kids realise an innocent has died because they failed to act in time.

As you can see the details still need to be fleshed out, but the upshot of this is that Aelita and Jeremie become divided as a result of Alex's death, a small story-arc that Animenologist suggested.
This might be a bit too despondant for a season's opening episode, but I'd like to know what you think.
And Taelia, sorry if I'm diverting your thread, say the word and I'll remove this post.

This is now the first ep, picking up at the beginning of the new term at Kadic - this is also the first person someone dies - a railroad engineer named Alex.

My thinking is that since Jim was a military engineer, and Project Carthage was a military project, Jim and his batallion could have been involved in the construction side. I also theorise he left the army after developing some memory-loss issues (how else could he not remember Aelita as Hopper's daughter - she must have gone to Kadic years ago and he's been working there for 20 years!) for which he eventually recieved treatment in a physciatric hospital, and he then worked there for a short while before returning to Kadic.
